CONSTITUTION
(As Revised 5/6/94)
Article 1:
NAME
This Association shall be known as the xCasualty Underwriters Club of Philadelphia.x
Article 2
OBJECT
Its object shall be the research and study of the insurance business and its problems, the protection of better public and
agency relations, and through frank discussion, the development of and educational program, full cooperation, ethical
practices, acquaintanceship and sociability among members.
Article 3
MEMBERSHIP
Section 1- Membership shall consist of regular membership, and honorary membership.
REGULAR MEMBERSHIP
Section 2- Regular membership shall be comprised of such underwriting representatives as are charged with the
responsibility of and are in direct touch with the practical problems of insurance. This membership shall carry with it
eligibility to hold office and the voting privilege, to hold one vote.
HONORARY MEMBERSHIP
Section 3- Honorary Membership may be conferred annually only upon former regular members of this Club by a majority
vote of the members at any regular meeting. Honorary Membership shall not carry with it the voting privilege or eligibility to
hold office.
NEW MEMBERSHIP
Section 4- Proposals for membership shall be by application submitted to the Executive Committee for approval and
presentation to the members at a regular or special meeting of this Club. A majority vote shall govern all elections to
membership.
DATES OF MEETINGS
Section 3- Regular meetings shall be held on the second Wednesday of each calendar month, with a minimum of nine
monthly meetings per year, with additional meetings scheduled at the discretion of the Executive Committee.
Article 4
OFFICERS
Section 1- The officers shall consist of President, Vice President, Secretary, and Treasurer.
EXECUTIVE COMMITTEE
Section 2- The executive Committee shall consist of the President, Vice President, Secretary, and Treasurer.
Article 5
ELECTION
Section 1 The President, Vice President, Secretary, and Treasurer, shall be elected at a regular meeting normally held in
May of each year. Nominations shall be submitted in writing to the General Membership at least 10 days prior to the
elections.
TERM OF OFFICERS
Section 2- The President, Vice President, Secretary, and Treasure, shall be elected for a term of one year or until his
successor has been elected. A majority vote shall govern all elections.
Article 6
PRESIDENTxS DUTIES
Section 1- It shall be the duty of the president to preside at every meeting of the club; to exercise all executive and judicial
functions of the Club in accordance with the constitution; to appoint permanent standing committee as directed by a
majority vote of the members; to appoint members to fill such vacancies on standing committee as may exist or as may
occur from any cause whatsoever.
VICE PRESIDENT'S DUTIES
Section 2- In the absence of the President, the Vice President shall preside at all meetings and assume the duties and
powers of the President. The Vice President shall have the responsibility of all progress and social activity.
SECRETARYxS DUTIES
Section 3- The Secretary shall record the transactions of the Club, attend to the correspondence of the club as the
members may direct, and all other clerical functions necessary on behalf of the Club.
TREASURERxS DUTIES
Section 4- The Treasurer shall receive and be responsible for all financial transactions; make all disbursements when
authorized by at least one other member of the Executive Committee.
EXECUTIVE COMMITTEExS DUTIES
Section 5- The Executive Committee shall call such special meetings as may be necessary; investigate qualification of
applicants for membership and determine the eligibility of such applicants before presentation to the members for action at
a regular or special meeting of the Club; keep informed of all matters of finance make such recommendations to the
members as in the judgment of the Executive Committee will be for the best interest of the Club in accordance with the
Constitution, and if the office of the, Vice President, Secretary, and Treasurer become vacant for any cause, shall appoint
his successor for the unexpired term only. A majority vote of the executive committee shall govern such appointment.
Article 7
INITIATION AND DUES
The initiation fee and dues for regular membership shall be ________ to cover a period of one year subject to further
assessment as occasion may require in accordance of the recommendation of the Executive Committee and a majority
vote of the members at any regular of special meeting.
Article 8
AMMENDMENTS
This constitution may be amended at any regular or special meeting of this Club by a two-thirds affirmative vote of the
members present, provided notice of any proposed amendment, with copy thereof, has been mailed to the entire
membership of the Club not less then one month in advance of such meeting, together with a notice of the time and place
of the meeting as which such proposed action is to be taken.
